When you share commercial, operating, supplier or channel information with the Retro Motel Collective, this agreement governs what we can and can’t do with it.

Data Confidentiality & Limited Use Agreement

The terms.

This agreement is between Retro Motel Collective (“Retro”) and the participating property or operator sharing information with Retro (“Member”).

Purpose

The Member may disclose commercial, operating, supplier and channel information to Retro so Retro can:

  • identify savings or leakage opportunities for that individual property;
  • prepare benchmarking and audit work for that individual property;
  • assess whether the Member may benefit from future group purchasing, supplier negotiation or OTA review activity.

Confidential information

Confidential Information includes any non-public information shared by the Member, including:

  • OTA commission, programme participation and channel mix;
  • direct-booking share, website performance and parity issues;
  • supplier names, rates, contracts and invoices;
  • utility pricing, service agreements and operational spend;
  • internal performance, budget or commercial notes.

Retro’s obligations

Retro agrees to:

  • use the Member’s Confidential Information only for the Purpose above;
  • keep the information confidential and not disclose it to any other member, supplier or third party except to Retro’s advisers or service providers who need it for the same Purpose and are bound by confidentiality obligations;
  • not use the Member’s named data for any marketing or publicity purpose without written approval;
  • only use anonymised or aggregated information when preparing broader benchmark views, negotiation materials or sector commentary.

Limits on use

Retro will not:

  • share one Member’s named rates, contracts or performance data with another member;
  • use the information to coordinate room pricing, availability or other member-to-member competition decisions;
  • disclose the Member’s confidential material outside the Purpose unless required by law.

Member confirmation

The Member confirms that:

  • it is authorised to share the information provided;
  • the information is provided in good faith for the Purpose;
  • any decision to adopt a supplier or OTA arrangement remains the Member’s own commercial choice.

Return or deletion

On written request from the Member, Retro will within a reasonable period return, delete or destroy confidential material held for the Member, except where retention is required by law or needed for internal record-keeping of work already performed.

Term

This agreement starts when the Member first provides Confidential Information to Retro and continues for 24 months from the last disclosure, unless replaced by a later signed agreement.

No legal partnership or agency

This agreement does not create a partnership, joint venture or agency relationship between Retro and the Member.

Governing law

This agreement is governed by the laws of Queensland, Australia.
