Purpose

Retro Motel Collective ("RMC") is a commercial buying, marketing and distribution alliance for independently owned and operated motels, motor inns and lifestyle accommodation properties across Australia. This Agreement establishes your property as a Founding Member of RMC and authorises RMC to negotiate commercial partnerships, supplier agreements and distribution opportunities on your behalf.

Founding Member status

Your property will be recognised as one of the first 25 Founding Members of Retro Motel Collective. Founding Member benefits include:

• 50% reduction in membership fees for the first six months;
• Priority inclusion in launch marketing and PR;
• Priority participation in OTA and supplier negotiations;
• Access to collective procurement and partnership initiatives;
• Founding Member recognition within all RMC materials and launch activities.

Membership fees

No membership fees become payable until:

• RMC has established at least one negotiated commercial saving, supplier agreement or distribution benefit available to you; and
• The first month of measurable savings or commercial value has commenced.

Once those conditions are met, Founding Members receive a 50% reduction in standard membership pricing for the first six months. Ongoing pricing and services are outlined in a separate membership schedule issued by RMC.

Collective bargaining authority

You authorise RMC to:

• Explore and negotiate supplier agreements;
• Engage with Online Travel Agencies (Booking.com, Expedia Group and related distribution partners);
• Negotiate procurement, marketing and technology partnerships;
• Represent the collective commercial interests of participating members.

Nothing in this Agreement authorises RMC or members to coordinate room pricing, restrict market competition, fix accommodation rates, or breach Australian Competition & Consumer law. Each member retains full operational independence and pricing autonomy.

Confidentiality

Both parties agree to maintain confidentiality regarding commercial discussions, negotiated terms, supplier agreements, financial information, member data, strategic plans, and proprietary business information. Neither party publicly discloses confidential information without prior written consent, except where required by law.

Non-exclusivity

This Agreement is non-exclusive. You retain the right to operate independently, engage with alternative suppliers, maintain existing OTA relationships, and participate in other accommodation associations or commercial partnerships.

Term & termination

The Agreement commences on signing and continues until terminated by either party with 30 days written notice. RMC reserves the right to remove members who materially damage the reputation of the Collective, engage in misleading or unlawful conduct, or breach confidentiality obligations.

Acknowledgement

You acknowledge that Retro Motel Collective is in its foundation phase and that future commercial structures, supplier partnerships and member programs may evolve over time. This Agreement establishes collaborative participation and commercial alignment between the parties.
